Terms of Service — Studio Rental

This Terms of Service Agreement (“Agreement”) governs the rental and use of the Studio operated by PROS.Creative FZ-LLC (the “Company”), a company duly registered in the United Arab Emirates.

These Terms constitute a binding legal agreement between the Company and the person or entity booking the Studio (the “Client”).

1. Studio Rental

The Company agrees to provide access to the Studio for the period specified in the booking confirmation.

The Client agrees:

• To use the Studio strictly for lawful purposes.
• To comply with all applicable laws and regulations of the United Arab Emirates.
• Not to engage in any activity that may violate public decency laws, intellectual property laws, or cause damage to the Studio or its reputation.

The booking time includes full access only during the reserved period.

2. Payment

Full payment is required to confirm and secure the booking.

Payment may be made via:

• Stripe (online payment gateway), or
• Bank transfer to the Company’s official corporate bank account as specified in the issued invoice.

For bank transfers:

• The booking is confirmed only upon receipt of cleared funds in the Company’s bank account.
• The Client is responsible for any bank charges or transfer fees.
• The Company reserves the right to release the booking slot if payment is not received within the invoice validity period.

The Company does not collect or store payment data processed through Stripe. Payment data handling is governed exclusively by Stripe’s policies.

Failure to complete payment constitutes a material breach of this Agreement.

3. Cancellation & Rescheduling Policy

Cancellations

• Cancellations made at least 24 hours before the session — 50% refund.
• Cancellations made less than 24 hours before the session — no refund.

Rescheduling

• Rescheduling is free if requested at least 24 hours prior to the session.
• Last-minute rescheduling (within 24 hours but at least 3 hours before the session) incurs a fee of AED 500.
• Rescheduling is not permitted less than 3 hours before the session. The full session fee will be forfeited.
• A maximum of two reschedules per booking is permitted. A third request results in forfeiture of the booking.

Refunds (if applicable) will be processed within a reasonable timeframe in accordance with UAE financial regulations and payment provider timelines.

4. Equipment & Property Responsibility

The Company will provide equipment as specified in the booking confirmation.

The Client agrees:

• To use all equipment responsibly.
• To compensate the Company for any damage, loss, or destruction caused by the Client or their guests.
• To bear full financial responsibility for repair or replacement costs.

The Company reserves the right to claim compensation under applicable UAE civil laws.

5. Guests

The Client may bring guests to the Studio but remains fully responsible for:

• Their conduct,
• Compliance with this Agreement,
• Any damage or claims arising from their actions.

6. Intellectual Property

The Client retains full intellectual property rights to content created during the session.

The Client warrants that any third-party materials used during the session are properly licensed and authorized.

The Company bears no responsibility for copyright violations committed by the Client.

7. Promotional Use of Content & Image Rights

Photographs, video recordings, and behind-the-scenes materials may be captured within the Studio premises.

Unless the Client provides written notice prior to the start of the session expressly prohibiting such use, the Client grants the Company a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, publish, display, and promote such materials for:

• Marketing and advertising,
• Portfolio presentation,
• Website and social media,
• Paid campaigns,
• Commercial promotional purposes.

Failure to provide written notice before the session begins constitutes full consent to such use.

Ownership of the original content remains with the Client. The Company’s promotional license does not transfer ownership.

8. Preparation Time

The booked time includes all preparation activities, including but not limited to:

• Makeup,
• Wardrobe changes,
• Set adjustments,
• Equipment setup.

No additional time will be provided beyond the confirmed booking period.

9. Limitation of Liability

To the maximum extent permitted under UAE law, the Company’s total liability arising out of or in connection with the Studio rental shall not exceed the total amount paid by the Client for the relevant booking.

The Company shall not be liable for indirect or consequential damages, including loss of business, profits, or data.

10. Chargebacks & Payment Disputes

In the event of a chargeback or payment dispute initiated without valid contractual grounds, the Company may submit this Agreement and booking confirmation as evidence of contractual acceptance.

The Client remains liable for:

• The original booking amount,
• Any chargeback fees,
• Administrative and legal costs incurred.

11. Indemnification

The Client agrees to indemnify and hold harmless the Company from any claims, damages, losses, liabilities, or expenses arising out of:

• Use of the Studio,
• Actions of the Client or their guests,
• Breach of this Agreement.

12. Force Majeure

The Company shall not be liable for failure or delay caused by circumstances beyond its reasonable control, including but not limited to:

• Government restrictions,
• Power outages,
• Technical failures,
• Natural events,
• Any force majeure event recognized under UAE law.

13. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of the Emirate in which the Company is registered.

14. Acceptance of Terms

These Terms constitute a binding legal agreement between the Client and the Company.

By completing payment for the Studio booking — whether via Stripe or bank transfer — the Client expressly acknowledges and agrees that:

• The Client has read and understood these Terms,
• The Client accepts and agrees to be legally bound by them,
• The payment constitutes full and valid acceptance of this Agreement under the applicable laws of the United Arab Emirates.

No separate signature is required for this Agreement to be legally enforceable.

15. Entire Agreement

This Agreement constitutes the entire agreement between the Client and the Company and supersedes all prior oral or written agreements relating to the Studio rental.
